In June 2013, the EMDA submitted its comment letter in
response to the request for comments published by the Ontario
Securities Commission (OSC) on April 4, 2012 in connection
with the OSC’s 2013-2014 Statement of Priorities.
The EMDA indicated that Ontario’s #1 priority should be
adopting the Offering Memorandum Exemption. The EMDA
believe the absence of an OM Exemption in Ontario has
significantly limited business expansion, slowed our economy
and job growth and prevented investors from participating in
great investment opportunities the exempt market
The EMDA proposes a new ‘Eligible Investor’ form of OM
exemption under section 2.9 NI 45-106 and requires:
1) the use of a registered dealer who is accountable for KYC,
KYP and suitability determinations (because these obligations
are the core principles of investor protection established under
NI 31-103); and
2) the public postings of OMs that will provide greater
transparency to the marketplace, increase compliance with the
prescribed disclosure and over time improve the quality of OMs.

EMDA constantly monitors key issues affecting the exempt

to securities regulators and we meet regularly with senior
representatives of the provincial securities commissions to
advance the issues facing the exempt market professionals.
